Ethics Committee

The Ethics Committee receives complaints that involve unethical or even illegal conduct, in the form of the Code of Ethics. Complainants may express themselves verbally or in writing.

It is made up of six full members with equal representation of Brazilian and Paraguayan employees, appointed by the Board of Directors, and at least one representative of the Legal Department of each country. Each questioning must be evaluated within 90 days by two members of the Committee, being one of each nationality. A report is sent to the General Directors with recommendations.

The members of the Committee have a three-year term of office, having one-time extension allowed, and ordinary meetings occur every two months, and there may be special meetings. The resolutions are only valid with the presence of all the main members and the decisions are adopted by majority of votes.

The members of the Committee do not participate in meetings and deliberations when they have any type of relationship with the investigated persons to avoid conflicts of interest. The determination of infraction committed by a member of the Committee is determined by a group designated by the Executive Board of Officers. However, cases of infractions committed by director or adviser are appreciated by "ad hoc" Ethics Committees, with members appointed by the Board, Ande and Eletrobras.
