Company Profile and Corporate Governance

[102-1; 102-2; 102-5] Created and governed by the Treaty of Itaipu, of April 26, 1973, Itaipu Binational is an emerging company in the field of International Public Law, having received concession from the two countries to carry out the hydroelectric exploitation of the shared resources of Paraná River, in the section where the plant is located.

[102-5; 102-6] The guiding principle of the Treaty is equality of rights and duties, and the management of the entity is conducted jointly and equally by Brazilians and Paraguayans, without any predominance of one country or another. The right to purchase energy produced for own consumption is also shared by the Brazilian and Paraguayan governments, through the Brazilian Electricity Stations (Eletrobras), a mixed investment company connected to the Ministry of Mines and Energy of Brazil, and the National Electricity Administration (Ande), public agency of Paraguay.

[102-5; 102-6] The Treaty recognizes that the energy produced by Itaipu belongs in equal parts to both countries, providing for the right of one country to purchase energy not used for own consumption by the other country, so that all energy produced is acquired.

[102-3; 102-4] The company is headquartered in the cities of Brasília, Brazil, and Asunción, Paraguay, in addition to five offices located in the municipalities of Curitiba, Foz do Iguaçu, Guaíra, Santa Helena and Cidade de Leste in Paraguay.
